National Seating & Mobility, Inc. (“NSM”) loves your User Content and knows others will benefit from seeing it on our websites, social media channels, digital publications and other forms of media. As you consider allowing NSM to use your User Content, we want to make sure you know exactly how we intend to use it. “User Content” refers to your comments, tweets, posts, photos, pictures, images, videos, materials or other user-generated content or information.
By replying to our post with #YesNSMobility and providing your permission, you are affirming that:
- You alone created or own the User Content and no one else has any rights to it or could claim they own it or that it infringes on rights of others.
- Any individuals included in the User Content are 18 years of age or older, know you are giving NSM permission to use the User Content, and consent to it being used by NSM.
- Your permission is voluntary and freely given with no promise or expectation of financial compensation, either now or in the future.
- Your intention is to give NSM an unrestricted, non-exclusive license to use the User Content, in any manner it so chooses, as further detailed below.
You will continue to own the User Content, but are giving NSM and its affiliates an unrestricted, non-exclusive license to use the User Content. Once given, this non-exclusive license cannot be subsequently revoked except where required by law. With this non-exclusive license, NSM and its affiliates will have the right to edit and reproduce the User Content in any form (video, internet posting, reproduction, display, email, publication, distribution, etc.), either through our own services or services provided by third parties, throughout the world in perpetuity in any medium now known or later developed and without restriction or limitation. Also, if you posted your User Content with your real name, username, caption, location information or other identifying information, NSM will have the right to use that information along with your User Content. The User Content and other information may be used for advertising and promotional purposes, either alone or in conjunction with sketches, cartoons, captions, films, artwork, textural matter, materials written by us or others, or other photographs. Under this non-exclusive license, you will not have the right to approve how we use your User Content.
By replying to our post with #YesNSMobility, you acknowledge that you are at least 18 years of age and competent to contract in your own name, have read these terms before granting permission and fully understand the contents, meaning, and impact of them. You hereby irrevocably authorize NSM to edit, alter, copy, exhibit, publish, or distribute this User Content for purposes of publicizing NSM programs or for any other lawful purpose. In addition, you waive the right to inspect or approve the finished product, including written or electronic copy, where the User Content appears. Finally, you hereby agree to hold harmless, release forever and discharge NSM from all claims, demands, and causes of action arising out of or in connection with any use of the User Content including, without limitation, any claims for royalties or other compensation, invasion of privacy, defamation and infringement of your right of publicity.
